1. About these terms

These Terms of Service (“Terms”) are an agreement between you and EzerLab LLC, a Wyoming limited liability company (“EzerLab,” “we,” “us”), governing your use of the Ezer website, accounts, financial-statement research software, reports, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms and the incorporated Privacy Policy, Refund and Cancellation Policy, Digital Delivery Policy, and Financial Research Disclaimer. If you do not agree, do not use the Service.

2. Nature of the Service

Ezer is subscription software that organizes public company filings, structures financial data, decomposes metrics, and produces research material with source references.

The Service is for general information, education, and research. EzerLab:

  • is not an investment adviser, broker-dealer, exchange, bank, lender, or money transmitter;
  • does not execute trades or custody customer funds or securities;
  • does not provide personalized investment, financial, legal, or tax advice; and
  • does not provide a CPA audit, statutory audit, assurance opinion, or audit report.

Outputs may contain omissions, delays, parsing errors, model errors, or source limitations. You must independently review original filings and make your own decisions.

3. Eligibility and accounts

You must be at least 18 and legally able to enter a contract. You agree to provide accurate, complete, and current account information and to protect your login credentials.

You are responsible for activity under your account. If you suspect unauthorized use, contact joe@ezerlab.org promptly.

4. Free Service, paid subscriptions, and pricing

Some features may be available without charge and may be subject to usage, feature, or frequency limits. Premium is currently accepting early-access requests; joining the list does not create a charge before paid subscriptions open.

When paid subscriptions become available:

  • checkout will show the currency, price, billing interval, applicable taxes, and renewal status before payment;
  • monthly subscriptions will renew monthly until cancelled;
  • we will provide reasonable notice before price changes that affect future charges; and
  • payments will be processed by disclosed third-party payment providers, and we will not store full card numbers.

The current planned price and launch status appear on the Premium page and checkout. If they differ, the final checkout controls.

5. Digital delivery

Free features are generally available when your account becomes usable. After paid subscriptions launch, paid access will normally activate immediately after successful payment, as detailed in the Digital Delivery Policy.

You are responsible for providing a working email address and maintaining account access. Contact support if the corresponding access is not available within 24 hours after a successful payment.

6. Cancellation, refunds, and disputes

Monthly subscriptions may be cancelled at any time, normally effective at the end of the current paid period. Started periods are not prorated except where required by law.

Rules for first subscription charges, duplicate or incorrect charges, and non-delivery appear in the Refund and Cancellation Policy. We encourage you to contact support before initiating a payment dispute so we can investigate promptly.

7. Acceptable use

You may not:

  • use the Service in violation of law, regulation, or third-party rights;
  • use the Service for fraud, market manipulation, money laundering, sanctions evasion, or other unlawful conduct;
  • bypass access controls, quotas, identity checks, or security measures;
  • interfere with, attack, reverse engineer, or scrape the Service without authorization;
  • upload malware or information you are not authorized to process;
  • present outputs as a statutory audit opinion, professional opinion, or EzerLab-endorsed investment recommendation; or
  • resell, copy, or republish the Service or reports at scale without authorization.

We may restrict or suspend accounts reasonably suspected of misuse to protect users, the platform, or third parties.

8. User content and feedback

You retain rights in content you lawfully submit and grant us a limited license only as needed to provide, maintain, protect, and improve the Service. Do not submit unnecessary personal information, credentials, material non-public information, or other sensitive data.

We may use suggestions and feedback to improve the Service, but will not publicly attribute feedback to you without permission.

9. Intellectual property and third-party material

The Service software, interface, branding, orchestration methods, and original content belong to EzerLab or its licensors. Public filings, market information, third-party databases, and external links remain subject to their respective source terms and rights.

Except as allowed by law or written permission, these Terms do not grant a right to copy, adapt, distribute, sell, or create a derivative service.

10. Availability and changes

We work to keep the Service available but do not promise uninterrupted or error-free operation, or coverage of every company, period, source, or feature. We may modify or discontinue features for security, maintenance, legal requirements, or product improvement.

For material changes that substantially reduce a paid feature, we will try to provide reasonable notice or an appropriate remedy.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We do not warrant that any analysis, assessment, risk marker, source link, or model output is complete, current, or suitable for your particular purpose.

Nothing in this section excludes consumer rights that cannot legally be excluded.

12. Limitation of liability

To the maximum extent permitted by law, EzerLab will not be liable for indirect, incidental, special, punitive, or consequential loss, or loss of profits, data, goodwill, or investment opportunity.

For claims directly related to a paid Service, EzerLab’s aggregate liability will not exceed the amount you paid for the relevant Service during the 12 months before the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited.

13. Termination

You may stop using the Service and cancel a subscription. We may suspend or terminate access for breach of these Terms, a security or legal risk, unpaid amounts, or discontinuation of the Service.

Terms that by nature should survive— including intellectual property, disclaimers, limitations, and dispute provisions—continue after termination.

14. Governing law

Except for mandatory consumer protections in your jurisdiction, these Terms are governed by Wyoming law, without regard to conflict-of-law rules. Disputes will be heard in a state or federal court with jurisdiction in Wyoming.

15. Changes to these Terms

We may update these Terms. We will provide reasonable notice of material changes through the website, account, or email. The effective date at the top will identify the current version.
